Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “your”) and Carabid AI Inc. (“Carabid,” “we,” “us,” or “our”) governing your access to and use of the Carabid website at https://carabid.ai (the “Site”), our APIs, and all related products and services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 16 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information;
  • Keep your password secure and confidential;
  • Accept responsibility for all activities that occur under your account;
  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete.

4. Use of the Services

4.2 API Usage

If you access the Services through our API, you agree to:

  • Comply with all applicable API documentation and usage guidelines;
  • Not exceed any rate limits or usage quotas applicable to your plan;
  • Not use the API to build competitive products or services;
  • Not reverse engineer, decompile, or disassemble any aspect of the API.

4.3 Restrictions

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws;
  • Upload, transmit, or distribute any content that is harmful, offensive, fraudulent, or infringes on the rights of others;
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Use automated means (other than our API) to access the Services without our prior written consent;
  • Resell, sublicense, or redistribute the Services without our prior written consent;
  • Use the Services to generate content that violates any law or is intended to harass, harm, or deceive any person.

5. Intellectual Property

5.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Carabid and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license granted above.

5.2 Your Content

You retain ownership of any content you submit to the Services (“Your Content”). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store Your Content solely as necessary to provide the Services to you.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Services (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback without any obligation to you.

6. Payment and Billing

6.1 Fees

Certain aspects of the Services may require payment. You agree to pay all applicable fees in accordance with the pricing and payment terms presented to you. All fees are non-refundable except as expressly set forth in these Terms or as required by law.

6.2 Billing

We may use third-party payment processors to bill you. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the applicable fees.

6.3 Changes to Pricing

We reserve the right to change our pricing at any time. We will provide you with at least 30 days’ notice before any price increase takes effect for your current subscription period.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT MAKE ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CARABID, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Carabid and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) Your Content.

10. Term and Termination

10.1 Term

These Terms are effective from the date you first access the Services and continue until terminated.

10.2 Termination by You

You may terminate your account at any time by contacting us or through your account settings.

10.3 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. We may also terminate or suspend your account immediately if you breach any provision of these Terms.

10.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

12. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Carabid regarding the Services.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Notices. We may provide notices to you by posting on the Site or by sending to the email address associated with your account.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the “Effective date” above. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
